Wholesale Terms & Conditions

Wholesale Eligibility

Wholesale purchasing is intended for legitimate businesses purchasing Tinova products for resale or professional business use.

Tinova may request reasonable business information, resale documentation, or tax information when necessary.

Tinova reserves the right to refuse, cancel, limit, or discontinue wholesale access where an order appears fraudulent, abusive, intended primarily for personal consumer use, or otherwise inconsistent with the wholesale program.

Products & Packaging

Unless otherwise stated, wholesale buyers receive the same finished Tinova products offered for retail sale.

Miracle Cream is supplied as a full-size 4 fl oz / 118 mL finished retail product, sealed, in its individual retail carton.

Retailers may not alter, refill, dilute, relabel, repackage, cover, remove, or modify Tinova product packaging or labeling before resale.

Wholesale Pricing

Wholesale prices are based on the quantity and price displayed at the time an order is placed.

Tinova may change wholesale prices, quantity tiers, discounts, minimum quantities, sample pricing, promotions, or future wholesale offers at any time.

A completed order does not create a right to the same wholesale pricing on future orders.

If Tinova later lowers its wholesale pricing or offers a promotion, previously purchased inventory will not receive a retroactive refund, credit, price adjustment, or price match.

Likewise, Tinova may increase wholesale prices prospectively at any time.

Retail Price & Tinova Promotions

The current retail price of Miracle Cream is $60 per tube.

Tinova may change its suggested retail price at any time, including increasing or decreasing it.

Tinova also expressly reserves the right to sell directly to consumers and to independently run:

• sales;
• temporary discounts;
• coupon codes;
• bundles;
• introductory offers;
• holiday promotions;
• clearance promotions;
• free-product promotions;
• advertising offers; and
• other direct-to-consumer promotions.

Tinova may price or promote products differently across its own website, advertising campaigns, customer segments, geographic markets, or promotional periods.

A Tinova promotion, price reduction, price increase, or other direct-to-consumer offer does not entitle a Retailer to reimbursement, credits, refunds, price protection, margin protection, or compensation for existing inventory.

Unless Tinova establishes a separate written pricing policy, any suggested retail price communicated by Tinova is a recommendation and may change.

Tinova does not guarantee any particular retail margin, resale price, sales volume, revenue, profit, or sell-through rate.

Retailer Samples

Tinova may offer prospective Retailers the opportunity to purchase a full-size retailer sample before committing to a larger wholesale order.

Retailer samples are intended for product evaluation and may be limited to one per business, account, customer, or shipping address.

Sample pricing and availability may change.

Orders & Payment

Payment is due in full when an order is placed unless Tinova agrees otherwise in writing.

All orders are subject to inventory availability.

Tinova may cancel all or part of an order if inventory is unavailable, an obvious pricing or technical error occurs, payment cannot be completed, fraud is suspected, or fulfillment is otherwise unavailable.

If Tinova cancels merchandise that has already been paid for but not supplied, the amount paid for that merchandise will be refunded.

Separate orders may not be combined after purchase solely to qualify retroactively for a higher-volume discount.

Taxes & Resale Documentation

The Buyer is responsible for providing accurate tax and resale information.

A Retailer claiming a resale or other applicable tax exemption must provide any valid documentation requested by Tinova.

If sufficient exemption documentation is not provided, applicable taxes may be charged.

The Retailer is responsible for its own sales-tax collection, remittance, registrations, licenses, and other obligations arising from its resale of Tinova products.

Shipping

Available shipping methods, charges, and any estimated delivery information will be displayed at checkout or otherwise communicated with the order.

Any delivery dates are estimates unless Tinova expressly agrees otherwise in writing.

The Retailer is responsible for providing a complete and accurate delivery address.

Damaged, Missing, Defective or Incorrect Shipments

Retailers must inspect wholesale shipments promptly after delivery.

Claims involving merchandise that arrived damaged, defective, missing, or materially different from the order must be submitted to info@tinovaskin.com within 5 business days of delivery.

The claim should include the order number, description of the problem, quantity affected, and photographs when reasonably applicable.

For an accepted claim, Tinova may, at its discretion, replace the affected merchandise, issue a credit, or refund the amount paid for the affected merchandise.

Damage occurring after delivery because of mishandling, improper storage, modification, tampering, misuse, or other circumstances outside Tinova’s control does not qualify as a shipping defect.

All Wholesale Sales Are Final

All wholesale orders, including retailer samples and inventory purchases, are final sale once fulfilled.

Tinova does not accept wholesale returns or exchanges because of:

• unsold inventory;
• slow-moving inventory;
• lack of customer demand;
• a Retailer changing its mind;
• the Retailer discontinuing the product;
• changes in Tinova’s future pricing;
• Tinova running a promotion;
• Tinova changing its suggested retail price;
• the Retailer being unable to achieve its anticipated margin; or
• the Retailer closing or changing its business.

The only exceptions are verified damaged, defective, missing, or incorrect merchandise covered by Section 09, or where otherwise required by applicable law.

Wholesale purchases are not covered by a 30-day trial, sell-through guarantee, satisfaction guarantee, buyback program, or guaranteed return privilege. The 30-Day Money-Back Guarantee offered on direct-to-consumer purchases does not apply to wholesale orders.

Retailer Responsibilities

Retailers must sell Tinova products in their original finished packaging and accurately represent the product.

Retailers may use product information, images, descriptions, and marketing materials supplied or expressly approved by Tinova for the purpose of selling authentic Tinova products.

Retailers may not:

• alter Tinova product packaging or labeling;
• make unauthorized medical, drug, disease-treatment, or other product claims;
• make representations about Tinova products that Tinova has not authorized;
• present themselves as Tinova & Co., GrigCinema LLC, or an official Tinova corporate account;
• imply an exclusive relationship unless Tinova has expressly granted one in writing;
• refill, reproduce, manufacture, private-label, or modify Tinova products;
• knowingly sell opened, materially damaged, tampered-with, expired, counterfeit, or altered merchandise; or
• use Tinova intellectual property in a misleading or deceptive manner.

Customer Reactions & Product Liability

Retailer acknowledges that cosmetic products may cause irritation, sensitivity, or allergic reactions in certain individuals.

Retailer shall provide products to consumers only in their original, unopened packaging and shall not remove, obscure, alter, or contradict any ingredient disclosure, warning, direction, or other labeling supplied by Tinova & Co.

Retailer shall not represent that the Products are allergy-free, hypoallergenic, medically approved, suitable for every individual, or guaranteed not to cause irritation or sensitivity unless Tinova & Co. has expressly authorized such representation in writing.

Retailer shall promptly notify Tinova & Co. of any reported adverse reaction or product safety complaint and provide all reasonably available information concerning the complaint.

Retailer agrees to indemnify, defend, and hold harmless Tinova & Co. and GrigCinema LLC from claims arising from Retailer’s unauthorized representations, recommendations, alterations, repackaging, improper storage or handling, failure to provide supplied warnings or instructions, or other negligent or wrongful acts.

Nothing in this Agreement is intended to transfer to Retailer liability that applicable law places upon the manufacturer or responsible person for the manufacture, formulation, labeling, or safety of the Products.

Third-Party Marketplaces

Tinova products may not be listed or sold on Amazon, Walmart Marketplace, eBay, or other third-party marketplaces without Tinova’s prior written permission.

Retailers may sell authentic Tinova products through their own approved physical retail locations and their own business websites or other sales channels authorized by Tinova.

Tinova may revoke marketplace or sales-channel permission at any time.

Tinova Brand & Intellectual Property

Tinova and GrigCinema LLC retain all rights in Tinova trademarks, trade names, product names, packaging, photographs, videos, graphics, advertisements, written materials, website materials, and other brand assets.

A Retailer purchasing authentic Tinova inventory receives a limited, non-exclusive, non-transferable, revocable right to use Tinova-approved brand materials solely for promoting and reselling authentic Tinova products purchased from Tinova.

Retailers may not register or use domains, social-media accounts, business names, advertisements, or other assets in a manner that falsely suggests they are Tinova & Co. or an official Tinova entity.

No Exclusivity

A wholesale purchase does not create:

• geographic exclusivity;
• customer exclusivity;
• product exclusivity;
• protected territory;
• distributorship;
• franchise rights;
• agency rights; or
• any obligation preventing Tinova from supplying another business.

Tinova may sell directly to consumers and may appoint, supply, advertise to, or sell through other retailers at its discretion.

Any exclusivity must be expressly stated in a separate written agreement signed by Tinova.

No Guarantee of Sales or Profit

Tinova does not guarantee that wholesale merchandise will sell.

Any illustration comparing wholesale cost with a retail price represents only the mathematical difference between those figures.

Actual revenue and profit depend on the Retailer’s own pricing, expenses, taxes, payment processing costs, customer demand, operations, and sales.

Tinova does not guarantee any particular margin, revenue, profit, sales volume, conversion rate, customer demand, or inventory sell-through.

Changes to the Wholesale Program

Tinova may modify or discontinue its wholesale program at any time.

This includes the right to change:

• pricing;
• retail pricing;
• wholesale tiers;
• quantities;
• discounts;
• products;
• formulas;
• packaging;
• promotions;
• availability;
• ordering procedures;
• shipping options; and
• wholesale policies.

Changes will apply prospectively and will not ordinarily alter an accepted and paid order already being fulfilled.

Suspension or Termination

Tinova may suspend, restrict, or permanently terminate a Retailer’s wholesale purchasing privileges for conduct including fraud, chargeback abuse, unauthorized marketplace sales, unauthorized product modification, misuse of Tinova intellectual property, misleading product claims, or material violation of these Terms.

Termination does not obligate Tinova to repurchase remaining inventory.

Independent Businesses

The Retailer is an independent business.

Nothing in these Terms creates an employment relationship, partnership, franchise, agency relationship, joint venture, fiduciary relationship, or authority for the Retailer to bind Tinova or GrigCinema LLC.

Governing Law

These Terms and any wholesale transaction with Tinova are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-law principles.

Tinova & Co. is a DBA operated by GrigCinema LLC.

Entire Agreement & Changes

These Terms, together with the applicable order and any additional written terms expressly agreed to by Tinova, constitute the agreement governing the wholesale purchase.

Tinova may update these Terms prospectively.

The version in effect when a wholesale order is placed will govern that order unless otherwise agreed in writing.
